WSPC (UK) Ltd : TERMS AND CONDITIONS

Our standard Terms and Conditions are intended to comply with all of your statutory rights as a Consumer. However, in the event that any uncertainty may arise, your statutory rights as a Consumer will take priority over the Terms and Conditions.

All sales are subject to the following Terms and Conditions:

1. THE CUSTOMER ACKNOWLEDGEMENT
The Customer acknowledges agreement with these Terms and Conditions by the placement of an order to purchase a Product from WSPC (UK) Ltd.
The Customer agrees that any dispute with WSPC (UK) Ltd. arising out of The Customer’s purchase from WSPC (UK) Ltd shall be brought by The Customer exclusively in the courts of England and Wales and The Customer hereby agrees that such venue is appropriate and that WSPC (UK) Ltd’s agreement to sell and deliver products to The Customer is dependent on this provision.

2. PURCHASE PRICE
Goods and delivery charges together with VAT will be invoiced at the price agreed at the time of order.

Prices listed by WSPC (UK) Ltd including website prices, may be modified from time to time. Prices for certain governmental, corporate, dealer and institutional Customers may be set forth in a bid or other written agreement between the parties.

WSPC (UK) Ltd shall not be liable for handling or customs charges for shipments outside the United Kingdom of Great Britain.

3. PAYMENT
Payment is due before shipment and must be cleared in WSPC (UK) Ltd’s bank before goods are shipped.

All details the Customer provides to WSPC (UK) Ltd for the purpose of purchasing goods or services offered on our web site must be correct.

The credit or debit card used to make a purchase from WSPC(UK) Ltd must be the Customer’s own or their company's card, and the Customer must be authorised to use it.

There must be sufficient funds or credit facilities to cover the cost of any goods or services the Customer orders from WSPC (UK) Ltd. We reserve the right to obtain validation of the Customer’s credit or debit card details before providing any goods or services

4. SHIPPING TERMS
WSPC (UK) Ltd will arrange payment for shipping with the carrier, but such costs are the responsibility of the Customer. Risk of loss is upon the Customer once WSPC (UK) Ltd delivers the product to the carrier. Delivery times are estimates only and WSPC (UK) Ltd shall not be liable for delays.

5. VENDOR LICENCE AGREEMENTS
The Customer agrees to abide by all license provisions or end user agreements imposed by the manufacturer or publisher.

6. INTERNATIONAL
Products sold by WSPC (UK) Ltd. including equipment and software, may be exported from the United Kingdom of Great Britain only in accordance with the Export Administration Regulations. Diversion contrary to English and Welsh law is prohibited. The Customer warrants and represents that it is eligible to receive products under English and Welsh law and agrees to abide by any export or re-export restrictions imposed by the manufacturer or publisher.

7. LIMITED MANUFACTURER’S WARRANTY
WSPC (UK) Ltd. warrants that it has good title to the hardware products it sells and that it has proper authority to license the software products it distributes.
WSPC (UK) Ltd does not warrant the performance or integrity of any product or any component of a product supplied but not manufactured/assembled by WSPC (UK) Ltd, but merely passes through to the Customer whatever end-user warranty the manufacturers or software publishers provide with their respective products.
WSPC (UK) Ltd disclaims all other warranties, express or implied by law, including merchantability and use for a particular purpose.

8. LIMITATION OF LIABILITY
In no event shall WSPC (UK) Ltd be liable for special, incidental, or consequential damages, including but not limited to loss of profit, loss of opportunity or loss of data. The Customer's sole and exclusive remedy is stated in the manufacturer's or publisher's end user warranty accompanying the product. In no event shall WSPC (UK) Ltd liability exceed the repair, replacement or cost of the specific product purchased from WSPC (UK) Ltd.

9. RETURNS
WSPC (UK) Ltd is committed to supplying our customers with good quality products and service. However, on rare occasions a product may be found to be faulty. Return of products are subject to WSPC (UK) Ltd current return policies which are set forth on the web site, and shipping statement, subject to any additional or lesser return rights adopted by the manufacturer or publisher.
These Terms and Conditions represent the complete and final agreement between the Customer and WSPC (UK) Ltd for the matters set forth herein, and shall be supplemented only by the prices, quantity, and descriptions set forth in the WSPC (UK) Ltd invoice for the relevant sale. Terms contained in Customers' purchase orders, offers to buy, terms and conditions, and the like shall have no effect.

10. PRICES, ERRORS AND OMISSIONS
In the event that a product is listed at an incorrect price due to typographical, informational, technical or any other error, WSPC (UK) Ltd shall have the right, at our sole discretion, to either honour the displayed price or refuse/cancel any orders placed for that product at the incorrect price.

WSPC (UK) Ltd reserves the right to honour or refuse prices within two days from the time of purchase.

WSPC (UK) Ltd always strives to make sure that the information presented online is accurate. WSPC (UK) Ltd is not responsible for typographical errors or technical inaccuracies. In addition, we reserve the right to make adjustments due to errors, changing market conditions, product discontinuation or typographical errors in advertisements.

11. FORCE MAJEURE
Neither party is responsible for non-performance in case of circumstances beyond its reasonable control ("Force Majeure") including without limitation, terrorist acts, war, exchange fluctuations, governmental or regulatory actions, natural disasters, severe weather, unforeseeable transport or production problems affecting companies that supply WSPC (UK) Ltd.

12. GENERAL
These Terms and Conditions and any transactions made under them shall be interpreted by and be subject to the laws of England and Wales.

In the event any section or portion of a section of these Terms and Conditions are deemed unlawful or unenforceable, that section or portion of a section shall be stricken from the Terms and Conditions and the remaining terms shall continue in full force and effect.

These Terms and Conditins may be modified from time to time by WSPC (UK) Ltd without notice and are current as of the date of the web site. Please refer to the current web site.

Cancellation of orders by Customers will be accepted in accordance with the Consumer Protection (Distance Selling) Regulations 2000. Nothing in these terms and conditions is intended to impinge upon a Consumer's statutory or contractual rights to reject faulty goods.

APPENDIX 1: RECOMMENDED OPERATING TEMPERATURES

With reference to section 7 and 8, the recommended CPU operating temperatures for the Kauri and Rimu range are given:

  • Standard and variants of standard 39-47 degrees Celsius
  • Fanless 33-38 degrees Celsius
  • Slim 40-45 degrees Celsius

Any use outside these constraints is the responsibility of the purchaser.

Under no circumstances will WSPC (UK) Ltd guarantee or warrant their products if the CPU temperature exceeds 70 degrees Celsius and the ambient temperature 40 degrees Celsius unless otherwise stated. Any such use is at the risk of the user and WSPC (UK) limited accept no liability what so ever.

APPENDIX 2: LIMITED WARRANTY

1. DEFINITIONS
The following terms and expressions shall, unless the context requires otherwise, have the meanings set out below:
The Company: WSPC (UK) Ltd
The Purchaser: The original purchaser of the unit.
The Service Centre: Any body/organisation who has been authorised to carry out work on behalf of the Company.
Product: Products manufactured/assembled by WSPC (UK) Ltd
Third Party Products: Products not manufactured, assembled or authored by WSPC (UK) Ltd
Fault or any other variation of the word:
Any manufacturing defects in materials and/or workmanship under normal use.
DOA Dead on arrival at Purchaser’s delivery address.

2. Warranty
The Company warrants to the Purchaser of the unit for a period of One (1) year from the date of purchase, that any unit confirmed as faulty will be repaired or where applicable replaced, at the Company’s costs (excluding shipping).

3. Any servicing carried out by WSPC (UK) Ltd does not include data back up and/or data restoration.
In the event of a hard drive being replaced, the system will be restored to its original configuration when purchased.

4. The warranty is void if any of the following occur:

  • Scratched/broken casing, cracked PCB’s, abused housing and any failure/damages due to the Purchaser’s mishandling, improper maintenance or use and any damage due to misuse, abuse or negligence.
  • If any alteration/modification has been made to the unit and/or the unit has been serviced by a person not authorised by the Company.
  • If any serial number, supplier plate or seal has been removed or defaced.
  • If the Purchaser fails to provide a suitable installation or operating environment for the System.
  • If found to have been impacted with other objects, dropped, fallen, had liquids spilled on it or been immersed in liquids.
  • Faulty due to natural disasters such as flood, fire or lightning
  • Faulty due to problems with electrical power such as power surges.
  • Where the Company finds no fault on units returned for service, the Company may, at its discretion, charge the Purchaser a handling fee to cover transport and investigation.

5. Procedure
The Purchaser must follow the warranty procedure set out herewith:
In the unlikely event of a fault occurring in the unit, the Purchaser should:

  • Make sure the unit is correctly connected and switched on.
  • Make note of the model/product number, serial number, fault description and purchase date.
  • Contact the establishment from whom the unit was purchased, who will explain to the Purchaser, the procedure for the warranty and returns.

Should any dispute arise regarding the purchase date, a copy of the sales receipt will need to be produced.
The Company reserves the right to replace any unit with a similar model of the same or higher specification without the Purchaser’s consent.
DOA units must be reported to the Company within 7 days of date of purchase.

6. Valid proof of the date of your original purchase, including the serial number of the product, shall be required before any warranty service is provided. If the Company technician determines that the product is defective and that a repair or a replacement product is required, you will be given a Return Authorisation Number (RMA) for the return of the defective product. This number must be clearly marked on a label on the outside of the original packaging, prior to return.

7. The Company manufactures its computer systems from parts and components that are new in accordance with industry standard practices. The Company owns all parts removed from repaired products. The Company uses new and reconditioned parts made by various manufacturers in performing warranty repairs and building replacement products. If the Company repairs or replaces the System (or any part of it) under Warranty, the term of the Warranty is not extended.
